Mississippi Registered Agent Service

Every Mississippi LLC must name a registered agent when it files its Certificate of Formation and keep one on file for as long as the company exists. Mississippi takes the role seriously enough to give it its own statute: the Mississippi Registered Agents Act, Miss. Code Ann. § 79-35-1 et seq., in force since 2013, working alongside the LLC Act's registered office provision at § 79-29-113.

What the Registered Agent Does

The registered agent is the company's official recipient. When someone sues your LLC, the papers go to the agent. When the Secretary of State sends notices about the entity, they go to the agent. The agent's job is to be reliably present at a known Mississippi address during business hours and to get what arrives into your hands fast. That name and address sit on the public record, searchable by anyone.

Who Can Serve Under Mississippi Law

The Registered Agents Act and the LLC Act together define the eligible pool:

• An individual who resides in Mississippi, or
• A domestic corporation, nonprofit, or LLC, or a foreign one authorized to transact business in Mississippi, whose business office is identical with the registered office.

The address rule has no exceptions: the registered office must be a physical Mississippi street address, and the agent's business office must be identical with it (§ 79-29-113(1)). A PO box cannot stand in for the registered office.

Commercial vs. Noncommercial Agents

A distinctive feature of the Registered Agents Act is its two-tier structure. A commercial registered agent is a professional agent that files a listing statement with the Secretary of State ($100 registration fee) and appears on the state's commercial agent list; entities can then designate it by name alone. A noncommercial agent is anyone else eligible to serve, an individual or company acting as agent without the SOS listing. Both are equally valid appointments. The distinction mostly matters for how filings reference the agent and how professional agents manage many entities at once.

Changing Your Registered Agent

Mississippi has no standalone change-of-agent form, and nothing to print or mail. The SOS treats an agent change as an amendment filed inside the business portal at corp.sos.ms.gov, where it runs as filing type F0010 with a $10 fee.
